VOX VOICE WEBSITE TERMS & CONDITIONS

1. Introduction

These Terms and Conditions ("Agreement") govern the use of services ("Services") provided by Vox Voice ("Company," "we," "us," or "our") to the customer ("Customer," "you," or "your"). By accessing or using our Services, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, please refrain from using our Services.

2. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including any future modifications. Vox Voice reserves the right to update or modify these terms at any time without prior notice. Your continued use of the Services after such changes constitutes your acceptance of the new Terms and Conditions.

3. Service Terms

3.1 Service Availability & Best Effort Basis

  • No Warranty: Vox Voice provides Services on a best-effort basis and does not guarantee uninterrupted, error-free, or secure operation of the Services. All Services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of title, non-infringement, merchantability, or fitness for a particular purpose.

  • Service Interruptions: Service availability depends on factors beyond our control, including but not limited to internet connectivity, power supply, and third-party networks. Vox Voice is not liable for any service interruptions, delays, or failures.

3.2 Equipment & Installation

  • Customer Responsibility: You are responsible for installing, maintaining, and ensuring the compatibility of all necessary equipment unless otherwise specified in a separate Service Agreement. Vox Voice is not liable for any damage, disruption, or incompatibility arising from third-party equipment or customer modifications.

  • Compliance: You agree to comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Services.

3.3 Managed Services & Cybersecurity

  • Scope of Services: Vox Voice provides managed IT, VoIP, cybersecurity, and network infrastructure services in accordance with industry standards. These services include monitoring, maintenance, security patching, network optimization, and incident response.

  • Security Risks: While Vox Voice employs industry-standard security measures, we do not guarantee that our Services are invulnerable to cyber threats, including but not limited to hacking, malware, data breaches, or denial-of-service attacks. The Customer acknowledges that cybersecurity incidents can still occur despite reasonable precautions.

  • Customer Responsibilities: The Customer is responsible for implementing its own security policies, including strong passwords, data backup, access controls, and end-user security training. Vox Voice is not liable for unauthorized access to Customer’s network due to poor security practices or third-party compromises.

  • Incident Response: Vox Voice will make commercially reasonable efforts to detect and mitigate cybersecurity threats. However, we are not liable for any damages resulting from security breaches, network intrusions, or data theft.

3.4 Fiber Internet Services

  • Installation & Activation: Fiber service installation is subject to site feasibility and third-party infrastructure availability. Installation timelines are estimates and are not guaranteed.

  • Bandwidth & Performance: Fiber services are provided with a target service level but may be affected by network congestion, third-party infrastructure, and external interference. Vox Voice does not guarantee exact bandwidth speeds at all times.

  • Maintenance & Repairs: Vox Voice reserves the right to perform scheduled or emergency maintenance on fiber infrastructure. The Customer acknowledges that occasional service disruptions may be necessary to maintain network performance and security.

  • Unauthorized Modifications: Any unauthorized modifications to fiber equipment or infrastructure by the Customer or third parties will result in termination of service and potential liability for damages.
     

4. Payment Terms & Billing

4.1 Charges & Payment Obligations

  • Fees: You agree to pay all service fees, taxes, and surcharges in full and on time. Monthly recurring charges (MRCs) and non-recurring charges (NRCs) are due by the due date indicated on the invoice.

  • Late Payments: Unpaid balances may incur interest or late fees at the maximum rate allowed by law. Vox Voice reserves the right to suspend or terminate Services for late or non-payment.

4.2 Automatic Renewal & Rate Adjustments

  • Auto-Renewal: Service Agreements automatically renew for an additional 36-month period unless you provide written termination notice at least 30 days before the renewal date.

  • Rate Adjustments: Vox Voice reserves the right to adjust rates at its sole discretion upon renewal. Any rate changes will be reflected on future invoices.
     

5. 911 Service Limitations & Disclosures

  • VoIP 911 Service Dependence on Internet Connectivity: Vox Voice's 911 service relies on an internet connection. If your internet is down, your 911 calls may not go through. Power outages or ISP disruptions may prevent access to 911 emergency services.

  • Location Accuracy & Responsibility: You must register and update your service address with Vox Voice to ensure emergency responders receive accurate location information. If you move your VoIP device without updating your address, 911 calls may be misrouted.

  • Emergency Alternatives: You must maintain an alternative method to contact 911, such as a mobile phone or landline. Vox Voice is not liable for any failure to access emergency services due to VoIP limitations.
     

6. Indemnification & Limitation of Liability

  • Indemnification: You agree to indemnify, defend, and hold harmless Vox Voice, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of our Services.

  • Limitation of Liability: Vox Voice shall not be liable for any indirect, incidental, special, punitive, or consequential damages. Our total liability for any claims related to our Services shall be limited to the amount paid by you for the Services in the one month prior to the claim.
     

7. Changes to Terms & Conditions

Vox Voice may revise these Terms and Conditions at any time. Your continued use of the website and services constitutes acceptance of any modifications.
 

8. Service Agreement & Auto-Renewal

A. Initial Term & Auto-Renewal Policy Service agreements are available with initial terms of 12, 24, 36, 60, or 72 months. At the end of the initial term, unless the Client provides a formal termination notice, the agreement will automatically renew for an additional 36-month period under the same terms and conditions.

B. Termination Notice Requirement To prevent automatic renewal, the Client must provide a formal termination notice in writing.

  • Be sent via certified mail to the address listed below.

  • Be received by Vox Voice at least 30 days before the end of the initial term.

  • Clearly state the intention to terminate the agreement and include the Client’s account details.

Failure to comply with this termination process will result in the agreement renewing for an additional 36-month period.
